These Terms of Use apply to your access to and use of our websites, applications, digital profiles, membership services, verification services, and the Burbayne™ Exposure App.

1. ACCEPTANCE OF TERMS

By accessing or using any part of the site, app, or services, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you may not access or use our services.

By using the Burbayne™ Exposure App or any related services, you confirm that you are at least 13 years old. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian.

2. CHANGES TO THE TERMS

We reserve the right to update, change, or replace any part of these Terms of Use by posting updates on our website. Your continued use of the site, app, or services after changes are posted constitutes acceptance of those changes.

3. ACCESS, MEMBERSHIP, AND ACCOUNT TERMS

Access to certain services may be subject to approval, payment, invitation, account activation, or other eligibility requirements. We reserve the right to grant, deny, suspend, or revoke access to any service at our sole discretion, including where we believe a user has violated these Terms or acted in a way that harms the platform, other users, or our business.

You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.

4. GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time. Users are prohibited from posting, submitting, or sharing content that is promotional, spam, harassing, abusive, misleading, unlawful, infringing, explicit, or otherwise inappropriate. All posts, photos, profiles, applications, and content are subject to review, approval, rejection, removal, or limitation at our sole discretion.

5. BURBAYNE™ EXPOSURE APP

The Burbayne™ Exposure App (“Exposure App”) is an interactive platform that allows users to create profiles, upload photos, receive views, earn or use exposure credits, vote on content, follow other users, receive notifications, and participate in other exposure-related features.

By accessing or using the Exposure App, you agree to the following additional terms:

(a) User Content. You retain ownership of photos, profile information, captions, and other content you upload or submit to the Exposure App. However, by uploading or submitting content, you grant Burbayne Inc. a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, distribute, resize, crop, modify for formatting purposes, promote, and otherwise use that content in connection with operating, improving, marketing, and displaying the Exposure App and related Burbayne services.

(b) Content Review and Removal. We may review, approve, reject, hide, limit, or remove any content at any time. We are not required to display any uploaded content and we do not guarantee that any photo, profile, or post will be approved, shown, promoted, or distributed.

(c) Exposure Credits. The Exposure App may include exposure credits, rewards, balances, voting credits, bonuses, or similar platform metrics. These credits are internal platform features only. They have no cash value, are not legal tender, are non-transferable unless we expressly allow it, and may not be sold, redeemed, withdrawn, exchanged, or converted into money or compensation.

(d) No Guaranteed Results. We do not guarantee any specific number of views, likes, followers, votes, profile visits, engagement, sales, brand opportunities, modeling opportunities, partnerships, income, popularity, or other results from using the Exposure App. Any exposure, engagement, or activity received through the platform may vary based on user behavior, platform activity, moderation, system rules, availability of credits, and other factors.

(e) Voting and Engagement. Votes, views, follows, notifications, and other interactions are platform features designed to support discovery and activity within the app. We may count, limit, filter, delay, remove, adjust, or disregard activity that we believe is invalid, abusive, artificial, automated, duplicated, or inconsistent with the purpose of the platform.

(f) Platform Control. We retain full control over how content, profiles, votes, credits, feeds, recommendations, notifications, rankings, and visibility are calculated, displayed, distributed, limited, or removed. We may modify, pause, test, discontinue, or replace any Exposure App feature at any time without notice.

(g) Prohibited App Behavior. You may not use bots, scripts, automation, fake accounts, coordinated manipulation, scraping, spam, deceptive activity, harassment, impersonation, or any method intended to artificially inflate exposure, votes, followers, credits, or engagement. Violations may result in removal of credits, reduced visibility, account suspension, or permanent termination without refund.

(h) Paid Access. If access to the Exposure App requires payment, the payment grants access to the app or specific app features only. It does not purchase followers, guaranteed views, guaranteed engagement, guaranteed placement, or any guaranteed outcome.

(i) Account Suspension or Termination. We may suspend or terminate any Exposure App account at any time if we believe the user has violated these Terms, abused the platform, created risk for other users, submitted inappropriate content, attempted to manipulate the system, or otherwise acted against the interests of the platform.

6. ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

We are not responsible if information made available on the site or app is not accurate, complete, or current. The material on our services is provided for general information only and should not be relied upon as the sole basis for making decisions. Any reliance on the material is at your own risk.

7. MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our services are subject to change without notice. We reserve the right to modify, suspend, discontinue, or remove any service, feature, content, app function, or pricing at any time without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the service.

8. MEMBERSHIP SERVICES

Membership services are available exclusively online through our website or app. These services may have limited availability and are subject to approval. We reserve the right to limit sales or access to any person, geographic region, or jurisdiction. We reserve the right to discontinue any service at any time. Any offer made on this site or app is void where prohibited.

9. MODELING.ID™ PROFILES AND DIGITAL VERIFICATION SERVICES

Modeling.ID™ provides verified modeling profiles as part of our digital identity services. By purchasing, activating, or using a Modeling.ID™ profile, you acknowledge and agree to the following additional terms:

(a) Modeling.ID™ profiles are digital verification listings that serve as proof of legitimacy for aspiring models and creators. They are not a physical product or agency representation, and we do not act as a modeling agency or talent manager.

(b) Each Modeling.ID™ profile is personalized and non-transferable. Once activated, it is permanently assigned to the applicant’s name, likeness, or account information and cannot be resold, reassigned, or modified to represent another individual.

(c) Approval, issuance, and display of a Modeling.ID™ profile are subject to our internal verification process. We reserve the right to deny or revoke any profile that contains false or misleading information or violates these Terms.

(d) We make no guarantee regarding exposure, employment, partnerships, or opportunities through a Modeling.ID™ profile. The service is intended to enhance online legitimacy and does not constitute professional representation.

10. REFUNDS AND ACTIVATION POLICY

Unless otherwise stated at the time of purchase, digital activations, app access fees, verification charges, membership fees, and one-time service charges are non-refundable once payment is processed or access is granted.

Because certain services are digital, personalized, activated immediately, or made available upon purchase, no refunds, exchanges, or cancellations will be issued after purchase except where required by law or where we determine, in our sole discretion, that a refund is appropriate.

Refunds may only be considered if:

• A duplicate payment was processed in error, or
• A technical issue on our part prevented access or activation within 30 days of purchase.

Refund requests must be submitted in writing to legal@burbayne.com or the applicable support address within 7 days of the original transaction date.

We reserve the right to refuse refund requests that stem from user error, misunderstanding of the service, changes in personal circumstances, violation of these Terms, or dissatisfaction with results, exposure, engagement, or outcomes.

11. ACCURACY OF BILLING AND ACCOUNT INFORMATION

You agree to provide current, complete, and accurate purchase and account information for all purchases made through our site or app. You agree to promptly update your account and payment information so we can complete transactions and contact you as needed. We reserve the right to refuse, limit, or cancel orders or access in our sole discretion.

12. OPTIONAL TOOLS, THIRD-PARTY SERVICES, AND LINKS

We may provide access to third-party tools, platforms, payment processors, hosting providers, analytics tools, communication tools, or external websites over which we have no control. You acknowledge and agree that such tools are provided “as is” and “as available” without warranties, representations, or conditions of any kind. Your use of third-party tools is at your own risk and may be subject to separate terms from those providers.

13. PERSONAL INFORMATION

Your submission of personal information through the site, app, or services is governed by our Privacy Policy. The Exposure App may collect and process account information, profile information, uploaded content, activity data, votes, follows, notifications, credits, app usage, device/browser information, IP address, and related platform activity as described in our Privacy Policy.

14. SMS AND EMAIL COMMUNICATIONS

By providing your phone number or email address through our application process, website, app, or services, you agree to receive communications from Burbayne Inc. related to your account, application, participation, purchases, reminders, support, notifications, and service updates.

SMS message frequency may vary. Message and data rates may apply. You can opt out of SMS messages by replying STOP. You may unsubscribe from marketing emails using the unsubscribe link where provided, but we may still send transactional or account-related messages where permitted by law.

15. ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information on our site, app, or services that contains typographical errors, inaccuracies, or omissions relating to service descriptions, pricing, promotions, offers, availability, features, or results. We reserve the right to correct any errors and to change or update information or cancel orders if information is inaccurate at any time without prior notice.

16. PROHIBITED USES

In addition to other prohibitions set forth in these Terms, you are prohibited from using the site, app, or services: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any laws, regulations, or rules; (d) to infringe our intellectual property rights or the rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate; (f) to submit false or misleading information; (g) to upload or transmit viruses, malware, or malicious code; (h) to collect, scrape, or track personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, scrape, or use automation; (j) for any obscene, exploitative, or immoral purpose; (k) to interfere with or circumvent security features; (l) to create fake accounts or impersonate others; or (m) to manipulate votes, credits, exposure, follows, views, or engagement.

We reserve the right to terminate your use of the service for violating any prohibited use.

17. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our site, app, or services will be uninterrupted, timely, secure, error-free, accurate, or reliable. We do not warrant that any results obtained from using the service will meet your expectations.

You agree that from time to time we may remove, suspend, modify, or cancel the service or any part of it for indefinite periods of time without notice.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products, features, content, and services delivered through the service are provided “as is” and “as available” without warranties or conditions of any kind, either express or implied, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Burbayne Inc., our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, replacement costs, lost opportunities, loss of exposure, loss of followers, reputational harm, or any similar damages arising from your use of the site, app, or services, even if advised of their possibility.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions our liability shall be limited to the maximum extent permitted by law.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Burbayne Inc. and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, your content, your use of the service, your violation of any law, or your violation of the rights of a third party.

19. SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed. Such determination shall not affect the validity and enforceability of any remaining provisions.

20. TERMINATION

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms by ceasing use of our services. If we determine or suspect that you have failed to comply with these Terms, we may terminate this agreement at any time without notice and may deny you access to our services, in whole or in part. Amounts paid before termination are not refundable except where required by law or expressly stated otherwise.

21. ENTIRE AGREEMENT

These Terms of Use and any policies or operating rules posted by us on this site, app, or in respect to the service constitute the entire agreement between you and us and govern your use of the service, superseding any prior or contemporaneous agreements, communications, and proposals. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

22. GOVERNING LAW

These Terms of Use and any separate agreements whereby we provide services shall be governed by and construed in accordance with the laws of Nova Scotia, Canada. This governing law applies regardless of your location, the location from which you access the services, or any correspondence address listed in these Terms. You agree to submit to the exclusive jurisdiction of the courts of Nova Scotia, Canada for the resolution of any disputes arising out of or related to these Terms or your use of the services.

23. CHANGES TO TERMS OF USE

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website, app, or services following the posting of changes constitutes acceptance of those changes.

24. DISPUTE RESOLUTION

In the event of any dispute or claim relating in any way to your use of the service, you agree to first contact us at legal@burbayne.com and attempt to resolve the dispute informally. If we are not able to resolve the dispute informally, we may both agree to resolve any claim, dispute, or controversy through binding arbitration by a single arbitrator mutually agreed upon by the parties. The arbitration shall be conducted in Nova Scotia, Canada, unless otherwise agreed. Each party will be responsible for its own attorneys’ fees and costs unless otherwise determined by the arbitrator.
